These Terms of Service (“Terms”) constitute a binding agreement between you (“Client”) and Wired Wisdom AI (“we,” “us,” or “Company”), operated by Jared Tripodi. By engaging our services or using our website at wiredwisdom.ai, you agree to these Terms in full.

Wired Wisdom AI provides AI consulting services including but not limited to:

• ◆AI strategy consulting and workflow audits
• ◆Custom AI system design and architecture
• ◆Automation development and deployment
• ◆Multi-agent system buildout and integration
• ◆Ongoing support, maintenance, and optimization

The specific scope, deliverables, and timeline for each engagement will be defined in a separate Statement of Work (SOW) or proposal agreed upon by both parties before work begins.

We offer two primary engagement models:

• ◆Fixed-Fee Projects — Custom-scoped engagements with defined deliverables, timelines, and pricing agreed upon in advance.
• ◆Monthly Retainers — Ongoing consulting and development support billed on a recurring monthly basis.

All engagements begin with a discovery consultation to define scope, objectives, and expectations. No work commences until both parties have agreed to the engagement terms in writing.

Fixed-fee projects: 50% of the agreed project fee is due upon signing the Statement of Work. The remaining 50% is due upon delivery of the final deliverables.

Monthly retainers: Retainer fees are billed at the beginning of each month and are due within 15 days of invoice date.

Late payments may incur a fee of 1.5% per month on the outstanding balance. We reserve the right to pause work on any engagement with an outstanding balance exceeding 30 days.

Client ownership: You retain full ownership of your data, business information, and any content you provide to us. Upon full payment, you own all custom deliverables created specifically for your engagement (configurations, workflows, integrations, and documentation).

Company ownership: Wired Wisdom AI retains ownership of our proprietary methodologies, tools, frameworks, agent architectures, and any pre-existing intellectual property used in delivering services. This includes reusable components, templates, and system patterns that are not specific to your engagement.

We may use general knowledge and techniques gained during your engagement to improve our services for other clients, without disclosing your confidential information.

Both parties agree to protect confidential information received during the engagement. Confidential information includes business strategies, technical specifications, financial data, proprietary processes, and any information marked or reasonably understood to be confidential.

• ◆Neither party will disclose confidential information to third parties without prior written consent.
• ◆Confidential information will be used solely for the purpose of fulfilling the engagement.
• ◆These obligations survive the termination of any engagement for a period of two (2) years.

AI systems are powerful tools, but outcomes depend on many factors including data quality, organizational readiness, integration complexity, and evolving third-party platforms. We commit to delivering high-quality, professionally engineered solutions, but we do not guarantee specific business outcomes, revenue increases, or performance metrics.

We will clearly communicate realistic expectations during the scoping phase and work collaboratively to maximize the value of every engagement.

To the maximum extent permitted by law, Wired Wisdom AI's total liability for any claim arising from or related to our services is limited to the total fees paid by Client for the specific engagement giving rise to the claim.

We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, data loss, or business interruption — regardless of whether we were advised of the possibility of such damages.

Monthly retainers: Either party may terminate a retainer engagement with 30 days written notice. Fees for the current billing period are non-refundable.

Fixed-fee projects: If Client cancels a project after work has begun, payment is due for all work completed to date. If less than 50% of the project is complete, the initial deposit is non-refundable. If more than 50% is complete, Client will be invoiced for actual work performed.

We reserve the right to terminate any engagement immediately if Client breaches these Terms, fails to make payment, or engages in conduct that is abusive, fraudulent, or harmful.

Client agrees to indemnify and hold harmless Wired Wisdom AI from any claims, damages, or expenses arising from Client's use of delivered systems, Client's violation of applicable laws, or Client's breach of these Terms.

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Massachusetts.

We may update these Terms from time to time. Updated Terms will be posted on this page with a revised effective date. For active engagements, material changes will be communicated directly to the Client. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
